Terms and Agreement

This Agreement is made between Mac-Paul Cudjoe Tayviah, professionally known as “VXXDXX” (referred to as the Producer), and the person purchasing or using this beat (referred to as the Artist).

By purchasing, downloading, or using this beat, you automatically agree to the following terms.

1. What You Are Getting (The License)

The Producer grants the Artist a non-exclusive license to use the beat for recording and releasing one (1) song.

This means:

a. You can use the beat.

b. Other artists can also use the same beat.

c. The Producer still owns the beat fully.

2. Where You Can Release the Song

The Artist is allowed to distribute the song only on these platforms:

a. Audiomack

b. Spotify

c. Apple Music / iTunes

d. SoundCloud

e. YouTube

Any other platform requires written permission from the Producer.

3. Monetization Rules (Very Important)

To keep things fair and simple:

You are NOT allowed to:

a. Monetize the song on YouTube.

b. Monetize the song on any social media platform, including:

c. Instagram

d. Facebook

e. TikTok

d. Reels / Shorts

e. Register the song with Content ID or any copyright claiming system.

This beat is for exposure and distribution only, not for automated monetization.

4. Ownership & Credits
a) Ownership

The Producer keeps 100% ownership of the beat and all its rights.

You are only leasing the beat — you do not own it.

b) Producer Tag

Any producer tag or name (“VXXDXX”) inside the beat must stay and cannot be removed.

c) Credits

The Artist must credit the Producer as:

“Produced by VXXDXX”

on all platforms, descriptions, and metadata.

5. If the Song Blows Up 🚀

If the song:

Goes viral

Gets signed to a label

Generates serious income

Is used in films, ads, games, or commercials

Then the Artist must contact the Producer immediately to upgrade to a commercial or exclusive license.

This lease does NOT cover major commercial success.

6. Term (How Long This License Lasts)

This license is valid for two (2) years from the date of purchase.

After 2 years:

The license expires.

The song must be taken down unless renewed.

7. File Delivery

The beat is delivered in MP3 format, ready for professional use.

8. Samples & Clearance

If the beat contains any samples:

The Artist or their label is fully responsible for clearing them.

The Producer is not liable for any sample issues.

9. No Reselling or Claiming

The Artist may NOT:

Resell the beat.

Give it away.

Claim the beat as their own.

Upload it to beat stores or sample packs.

10. Termination

If any rule in this agreement is broken:

This license is automatically terminated.

The Producer can issue takedowns on all platforms.

11. Governing Law

This Agreement is governed by the laws of Ghana.

12. Final Agreement

This document represents the entire agreement between the Producer and the Artist.
No other messages, DMs, or conversations override this contract.
